III Rules in the Unidroit Principles Not Covered in the Convention

Abstract

This chapter discusses some provisions in the UNIDROIT Principles on International Commercial Contracts (Principles) which are not covered in the United Nations Convention on Contracts for the International Sale of Goods (Convention). Not contained in the Convention, the Principles set out specific rules on set-off rights, limitation periods, assignment of rights and delegation of duties, third party beneficiary rights, conditions, illegality, and plurality of parties.
