This article will be of value to health policy-makers, care regulators, service leaders and professional bodies who are collectively grappling with how best to ensure that governance structures and procedures are more effective in detecting and responding to the signs of variable care quality. Specifically, it supports and extends a growing body of evidence showing that greater involvement of healthcare professionals in senior management is positively associated with increased care quality and safety. It looks at the recent research supporting these ideas and outlines new directions for future research and practices development.

IMPACTThe author explains how practitioners in corporate governance and the managers of municipally owned enterprises (MOCs) will benefit from using Public Corporate Governance Codes (PCGCs) as practical guidelines. The ‘comply-or-explain’ principle allows flexibility, while tailoring governance to specific local needs. This article introduces the German Public Corporate Governance-Model Code (G-PCGM) as a point of reference for enhancing governance structures and practices. City economy strategies, also highlighted in the article, offer practical roadmaps for aligning strategy and business models for modern services of general interest. Practitioners can profit directly from both tools for their strategic work, improving governance, and increasing public value and public trust in MOCs.ABSTRACTIn view of the growing number of public shareholdings, the steering and management of municipally owned enterprises (MOCs) is becoming increasingly important. This article contributes to the academic discussion by highlighting the growing importance of public corporate governance and the potential of the German Public Corporate Governance-Model Code (G-PCGM) as a practical reference for improving governance structures and practices, particularly for municipalities regarding their MOCs. It underscores the benefits of using Public Corporate Governance Codes (PCGCs) and the ‘comply-or-explain’ principle, offering flexibility tailored to MOC needs. Additionally, this article highlights the importance of city economy strategies for public management and contributes to closing the gap of political decisions on the one hand and practical management on the other hand. Readers may transfer the lessons learned to other countries, regions and municipalities. This article provides insights into ‘what works’ in terms of successful governance arrangements for municipal operating companies (MOCs). Some studies, notwithstanding their value as scholarly endeavours, make assertions that lack a direct appreciation of practice. The author’s experience as a co-opted member of local government audit committees and interviews with practitioners provide the basis for the article; elected members, local government officers and those responsible for the management of MOCs might have an interest in its findings and conclusions. In particular, the article offers insights for those with an interest in and responsibility for accounting in and for MOCs. Clarity of purpose, robust decision-making processes and the quality of relationships between politicians and managers were more important than a ‘one size fits all’ approach. Veneration of so-called ‘traditional’ accounting practices fails to reflect the subtlety and nuance needed to operate MOCs successfully.
